1. Acceptance of These Terms
By accessing or using AI Clip Maker Studio (the "Service"), you agree to these Terms of Use and acknowledge our Privacy Policy. Our Cookie Policy explains essential service technologies, optional analytics, and optional advertising measurement choices. If you do not agree, do not use the Service.
If you use the Service for a company or other organization, you represent that you have authority to bind that organization.
2. Nature of the Service
The Service helps creators repurpose long-form videos into short-form clips for platforms such as YouTube Shorts, Instagram Reels, TikTok, and similar services. Features may include video import, transcription, highlight detection, script suggestions, captioning, reframing, editing tools, virality scoring, downloads, and future publishing or scheduling tools.
V1 of the Service accepts public YouTube video URLs. The Service may download, transcribe, analyze, edit, render, and store copies or derivative clips of the public YouTube source videos that you ask us to process.
Product features may change, break, be unavailable, or be removed. Marketing descriptions, screenshots, examples, pricing, and feature previews are informational and do not guarantee future availability.
The Service is not affiliated with, sponsored by, or endorsed by YouTube, Google, Instagram, TikTok, Meta, ByteDance, or any other third-party platform.
3. Accounts and Eligibility
You must be at least 16 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with permission from a parent or legal guardian.
If you create an account, you must provide accurate information and keep credentials secure. You are responsible for activity under your account.
We may refuse, suspend, or terminate access if we believe these Terms were violated, fraud or abuse is suspected, or continued use could create legal, security, or operational risk.
4. Your Videos, Links, and Other Content
"User Content" means public YouTube links you submit, source video metadata associated with your projects, generated scripts, generated clips, transcripts, captions, prompts, manual edits, preferences, render settings, feedback, and other material that you submit to or generate through the Service.
You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, process, download, copy, transcribe, analyze, transmit, display, modify, render, store, and create derivative works from User Content only as needed to operate, secure, maintain, troubleshoot, and improve the Service.
You represent that you have all rights, permissions, releases, and licenses needed to submit User Content and create clips from it, including rights relating to copyright, music, trademarks, privacy, publicity, voice, image, and likeness.
Public availability on YouTube does not by itself mean that you have the right to create, download, modify, publish, monetize, or distribute clips from a video. You are responsible for confirming those rights before using the Service.
You are solely responsible for reviewing generated clips before publishing them and for ensuring that your source videos and outputs comply with the rules of any platform where you post them.
5. AI Outputs and Editorial Responsibility
The Service uses automated and AI-assisted systems. Outputs may be inaccurate, incomplete, offensive, out of date, poorly edited, or unsuitable for your audience. Virality scores, hook suggestions, titles, hashtags, captions, and recommendations are estimates, not promises of views, subscribers, revenue, engagement, or business results.
You are responsible for independently reviewing outputs before relying on, publishing, monetizing, or sharing them. The Service does not provide legal, marketing, financial, copyright, or other professional advice.
6. Plans, Credits, Payments, and Refunds
The Service may offer free, trial, paid, subscription, usage-based, or credit-based plans. Plan limits, included clips, watermarks, feature access, prices, and billing periods are shown at checkout or in the product and may change over time.
If you buy a paid plan, you authorize us and our payment processors to charge applicable fees, taxes, and recurring subscription charges using your selected payment method. Unless stated otherwise at checkout, subscriptions renew automatically for the billing period shown at checkout until canceled.
Subscription clips are granted for the current billing period and unused subscription clips do not carry over. Active or trialing subscribers manage billing through Stripe Customer Portal. Checkout, invoices, payment method collection, and subscription management are handled by Stripe.
Unless required by law or expressly stated at checkout, fees already paid are non-refundable and cancellation stops renewal for the next billing period. To avoid renewal, cancel before the next renewal date shown in the product, checkout, receipt, or Stripe Customer Portal. If a specific refund, trial, or promotional policy is shown at checkout, that specific policy controls for that purchase.
7. Prohibited Uses
You must not use the Service to:
- violate any law, regulation, third-party right, or platform rule;
- upload or process content that you do not have permission to use;
- try to bypass platform access controls, paywalls, age gates, membership restrictions, geographic restrictions, or technical protection measures;
- create misleading impersonations, unauthorized likeness uses, or deceptive synthetic media;
- harass, defame, exploit, discriminate against, threaten, or harm any person or group;
- process illegal, sexually exploitative, hateful, violent, or malware-related content;
- scrape, crawl, overload, reverse engineer, bypass, or interfere with the Service or its security controls;
- share accounts, abuse free trials, manipulate usage credits, or attempt payment fraud;
- use outputs in a way that infringes copyright, trademark, privacy, publicity, or other rights.
8. Third-Party Services and Links
The Service may rely on or link to third-party services, including hosting providers, Supabase, Google, YouTube, Google or Gemini model services, Google Fonts, Google Analytics if optional analytics is accepted, Google Ads and Google advertising measurement features if enabled and accepted, Stripe, ElevenLabs or other transcription tools, yt-dlp, ffmpeg, customer communication or CRM tools that may receive account email, submitted YouTube links, video attempt status, and related support context, operational alerting tools, video processing tools, and social platforms.
Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party websites, accounts, outages, policy changes, fees, content removals, or platform decisions.
9. Our Intellectual Property
We and our licensors own the Service, including software, workflows, interface designs, templates, branding, documentation, and other materials we provide. These Terms do not grant you ownership of the Service or any right to use our name, logo, or branding except as necessary to identify the Service.
10. Availability, Changes, and Termination
We may update, suspend, discontinue, limit, or change the Service at any time. We do not guarantee that the Service will be uninterrupted, secure, error-free, or compatible with every video, platform, browser, device, or workflow.
11. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or reliability.
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages; loss of profits, revenue, goodwill, data, content, business, or opportunities; platform takedowns; copyright claims; or publishing decisions based on Service outputs.
To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of USD 100 or the amount you paid us for the Service in the 12 months before the claim arose.
12. Indemnification
You agree to indemnify and hold harmless Path2Dream, its owner, contractors, service providers, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your User Content, your use of the Service, your published outputs, your violation of these Terms, or your violation of any law or third-party right.
13. Governing Law
These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law rules. Mandatory consumer protection laws that apply where you live are not limited by this section.
14. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Your continued use of the Service after an update means you accept the updated Terms.
